AVELLUM acted as legal counsel to Lignum Plast in a cross-border transaction involving a strategic investment by Roodwild Participaties B.V., a Netherlands-based strategic investor. As part of the deal, Lignum Plast’s founders also acquired shares in a subsidiary company of the investor in Germany.
AVELLUM provided comprehensive legal support throughout the entire transaction process across both Ukrainian and German jurisdictions, including drafting and negotiating transaction documents, coordinating German counsel, and managing signing and completion matters.
Lignum Plast is a leading Ukrainian producer of food packaging, specialising in manufacturing food foil and baking paper for both in-house and global brands.
This investment is one of the few foreign strategic investments in a Ukrainian mid-sized business during wartime, which demonstrates the resilience of Ukrainian businesses and continued international support for the country’s economic development. It also highlights growing investor confidence in Ukraine’s economic potential despite challenging circumstances.
“Our client is an experienced entrepreneur whom we have previously assisted with exiting another business venture,” noted AVELLUM Corporate and M&A partner Yuriy Nechayev. “We consider it an honour that our clients consistently entrust us with their most complex transactions, demonstrating the long-term relationships we build and the confidence they place in our expertise.”
The AVELLUM team was led by partner Yuriy Nechayev, with support from managing associate Oleksandr Volodin and associate Yuliia Seredynska.
