Andrii Kroshko is a Senior Associate at AVELLUM’s Banking & Finance, Capital Markets and Restructuring practices.

Andrii’s expertise spans cross-border loan financing, debt capital markets, and a range of regulatory matters, including banking and financial services, currency control, and budget regulation. He regularly advises Ukrainian and international clients on complex transactions, including a variety of liability management exercises in both loan and capital markets transactions.

Andrii also has significant experience advising sovereign and quasi-sovereign entities, including the Ministry of Finance of Ukraine, on loan financing (including export and project financing), capital markets financing and various liability management exercises.

      Acted as the Ukrainian legal counsel to MHP Group in connection with the issuance by MHP Lux S.A. of USD450 million 10.500% guaranteed notes due 2029 and subsequent USD100 million tap issuance of the same notes

      Acted as the Ukrainian legal counsel to the European Bank for Reconstruction and Development (“EBRD”), the European Investment Bank (“EIB”), and Deutsche Investitions- und Entwicklungsgesellschaft mbH (“DEG”) (together, “Lenders”) in connection with a USD171 million debt override agreement entered into with Nibulon Ltd (“Nibulon”)

      Acted as the Ukrainian legal counsel to the Ministry of Finance of Ukraine on successful restructuring of Ukraine’s GDP-linked warrants

      Acted as the Ukrainian legal counsel to the European Bank for Reconstruction and Development (“EBRD”) in connection with the EUR500 million loan to Joint Stock Company “National Joint Stock Company “Naftogaz of Ukraine” (“Naftogaz”)

      Acted as the Ukrainian legal counsel to the European Bank for Reconstruction and Development (“EBRD”) in connection with a new senior loan of up to EUR50 million to a leading Ukrainian postal company

      Acted as the Ukrainian legal counsel to the Ministry of Finance of Ukraine on a defence financing facility of up to GBP 1.7 billion, guaranteed by UK Export Finance

      Acted as the Ukrainian legal counsel to the Ministry of Finance of Ukraine in connection with three landmark loans from the United Kingdom, Canada, and Japan provided under the auspices of the EUR45 billion G7 ‘Extraordinary Revenue Acceleration (ERA) Loans for Ukraine’ initiative

      Advised EBRD in connection with a senior secured loan of up to EUR2.5 million to Private Higher Educational Establishment “Kyiv Medical University”

      Advised MHP SE and its Ukrainian subsidiaries in connection with the loan financing totalling USD480 million from EBRD, IFC and DFC

      Advised Private Joint Stock Company “VF Ukraine” on a successful consent solicitation in relation to its USD500 million 6.20% loan participation notes due 2025, resulting in extension of the maturity of the notes and increased coupon rate

      Advised DTEK Renewables Finance B.V. on a successful consent solicitation in relation to its EUR325 million 8.50% senior notes due 2024, resulting in extension of the notes’ maturity by three years

      Advised the Ministry of Finance of Ukraine on USD20 billion loan from the U.S. Department of the Treasury, provided under EUR45 billion G7 ‘Extraordinary Revenue Acceleration (ERA) Loans for Ukraine’ initiative

      Advised the Ministry of Finance of Ukraine in connection with concessional loans from Canada totalling CAD2.4 billion, funds under which are expected to be channelled through the International Monetary Fund’s Administered Account and used to finance Ukraine’s priority state budget expenditures

      Advised the Ministry of Finance of Ukraine on the successful restructuring of Ukraine’s state and state-guaranteed external debt, totalling USD20.47 billion, which involved a joint consent solicitation and the exchange of 13 series of Ukraine’s outstanding Eurobonds and state-guaranteed Eurobonds of State Agency for Restoration and Development of Infrastructure into 8 new series of Ukraine’s Eurobonds

      Advised the Ministry of Finance of Ukraine in connection with an export loan from an English institutional lender guaranteed by UK Export Finance (UKEF) to finance the purchase, modernisation, and maintenance of two Sandown-class mine countermeasures vessels for the Ministry of Defence of Ukraine

      Advised the Ministry of Finance of Ukraine in connection with EUR37.6 million export loan provided under the framework agreement between the Governments of Ukraine and France, funds under which will be directed towards purchasing and supplying rails from Saarstahl-Rail, a French manufacturer of rails, to Ukrainian Railways

      Advised Private Joint Stock Company “VF Ukraine” on a successful consent solicitation in relation to its USD500 million 6.20% loan participation notes due 2025, resulting in extension of the maturity of the notes and increased coupon rate
