AVELLUM advises Greenville and Nest Groups on sale of 105 MW solar power plant portfolio to Kyivstar

AVELLUM acted as legal counsel to the Greenville and Nest groups of companies in connection with the sale to Kyivstar, Ukraine’s leading digital operator, of a portfolio of six solar power plants located in the Lviv region with a total installed capacity of 105 MW. The transaction value amounted to UAH3.6 billion (approximately USD80.8 million).

The transaction represents a significant investment into Ukraine’s renewable energy sector and highlights the continued strategic importance of energy resilience and sustainable infrastructure for Ukrainian businesses.

AVELLUM provided full-scope legal support throughout the transaction. Our work included transaction structuring, coordination of parallel transaction workstreams involving two separate seller groups and two corresponding target groups, preparation and negotiation of the share purchase agreements and ancillary transaction documents, as well as comprehensive legal support at signing and completion.

Oksana Khomyk, Chief Executive Officer of Greenville group of companies, comments: “This transaction was both strategically important and complex, involving a sizeable portfolio of operational renewable energy assets and coordination across several parallel workstreams. AVELLUM has supported us on a number of strategically important projects over the years, and their role in this transaction went well beyond legal execution. The team helped us navigate key structuring, negotiation and completion matters with a clear understanding of our commercial objectives and the broader strategic context in which decisions were being made. We highly appreciate their professionalism, commitment and practical approach.”

The transaction further strengthens AVELLUM’s track record of advising on strategically significant and structurally complex transactions in the renewable energy and infrastructure sectors, including transactions involving operational energy assets, multi-asset portfolios and sophisticated transaction structures.

Partner Yuriy Nechayev led the AVELLUM team with support from counsel Oleksandr Volodin and associates Olha Rudevych and Anastasiia Tartak. The financing aspects of the transaction were led by senior partner Glib Bondar with support from of-counsel Yurii Krasnoliudskiy and associate Nikita Tipikin-Holovko.
