AVELLUM secures conditional merger clearance for Kyivstar’s acquisition of Tabletki.ua

AVELLUM has advised Kyivstar, Ukraine’s largest telecom operator, on obtaining conditional merger clearance from the Antimonopoly Committee of Ukraine (AMCU) for its acquisition of Tabletki.ua – Ukraine’s leading online platform for searching and reserving pharmaceuticals across a nationwide network of independent pharmacies.

The transaction marks another milestone in Kyivstar’s transformation from a traditional telecom operator into a diversified digital ecosystem player. By integrating a platform that partners with over 12,000 pharmacies nationwide, Kyivstar strengthens its data-driven presence in the pharmaceutical sector and advances the development of digital health services in Ukraine.

AVELLUM advised Kyivstar throughout the merger control process, including regulatory strategy, filings, engagement with the AMCU, and the design of commitments addressing competition and data-related considerations.

The approved commitments include measures to ensure non-discriminatory access to online services, safeguards for the use of data, and provisions to preserve effective competition and consumer choice in the relevant markets.

Mykyta Nota, Head of competition practice at AVELLUM, says: “This was a cutting-edge transaction at the intersection of telecoms, data, and digital platforms, setting an important benchmark for merger control analysis in Ukraine’s digital markets. Kyivstar’s investment in Tabletki.ua reflects the growing sophistication of Ukraine’s digital economy, and we are proud to have advised on a deal that shapes the future of digital competition.”

Maksym Savchenko, Head of Legal Support and Antitrust Unit at Kyivstar, says: “AVELLUM provided clear, strategic guidance throughout a complex merger control process. Their ability to navigate a novel, data-driven transaction and anticipate regulatory concerns was critical to achieving a timely and balanced outcome. We value their strategic approach and depth of regulatory expertise.”
