Bogdana Parkhomchuk is a Managing Associate at AVELLUM’s employment practice. She advises clients on employment, corporate, and immigration law as well as on general commercial matters with a key focus on Pharma & Healthcare.

For over 7 years Bogdana Parkhomchuk advises domestic and multinational companies on terms and requirements related to entry to the Ukrainian market and further commercial activities in Ukraine. Her professional portfolio covers projects related to overall structuring business in Ukraine, choosing an appropriate corporate governance model, overview of the local regulatory framework, support with labour law issues, that includes support during mass redundancy of employees, sensitive and distressed dismissal cases, including top-management dismissal, as well as cross-border transfer of personnel, developing of incentive plans, etc.

Bogdana has a solid experience in advising Pharma & Healthcare companies on matters related to:

  • receiving market authorisations for their products and/or activities in Ukraine (e.g. licenses, registration certificates, conformity assessment certificates, etc.),
  • price regulation and procurement matters
  • support during conducting of medical trials
  • cooperation of pharma companies with healthcare professionals and key opinion leaders in the said industry, as well as with patient organisations
  • legal support of promotion activities (e.g. promo-campaigns, sponsorship, donations, as well as general advertising activities)
  • developing of anti-bribery and anti-corruption guides for pharma companies
  • advising on peculiarities of off-label use of pharmaceuticals
  • pharmacovigilance, etc

Prior to joining AVELLUM Bogdana Parkhomchuk worked at a law firm that operates within a structure of one of the Big Four companies.

  • RECENT EXPERIENCE

      Advises ClinTec International, an international clinical research organisation, on all employment issues of its operations in Ukraine, including structuring of employment relationships, hiring employees, drafting employment agreements and other necessary documents, and mass redundancy due to transfer of staff to IQVIA Holdings

      Advised one of the world’s biggest manufacturers of generics on potential acquisition of the local manufacturer of pharmaceuticals and food supplements

      Advised one of “big pharma” companies on an intra-group restructuring (spin off of oncology business unit). During the said restructuring, advised the client on transfer of personnel, launch of compliance function, hiring of key management, and necessity of receipt of new market authorisation documents

      Advised Syneos Health (formerly InVentiv Health Incorporated and INC Research), a NASDAQ listed American multinational contract research organisation on a potential acquisition of the developer of an IT solution on data analytics for medical trials, as well as on a pre-sale restructuring of the latter (creation of SPVs, transfer of shares, etc.)

      Advises Euromoney on various employment matters, including structuring the employment relations, establishing a remote work, relocation of their employees

      Advised Volt Resources Ltd on various employment matters that occurred at the post completion stage following the acquisition of Ukrainian group of companies engaged in mining of graphite

      Advised Adam Smith International on various matters related to establishing their presence in Ukraine, as well as with regard to engaging of Ukrainian consultants

      Advised Argus Media Ltd on the acquisition of Agritel International, a subsidiary of Agritel, an expert provider of information, consulting, and forecasting on agricultural and agro-industrial markets

      Advised Betbull Limited, a developer of VR games, on presale intra-group restructuring

      Advised Euromoney Institutional Investor PLC, the international information services provider of information to global and specialist markets, on the acquisition of Census Commodity Data having a Ukrainian subsidiary Census Commodity Data Ukraine

      Advised Furshet, one of the leading retail chains in Ukraine, on its acquisition by Silpo (part of the largest retail trade groups in Ukraine), in particular, on transfer of personnel during the acquisition of control over Furshet’s retail assets by Fozzy Group

      Advised JLL Partners, a private equity firm based on New York, on acquisition of MedeAnalytics, a cloud-based healthcare analytics platform

      Advised Atlantic Group on replacement of management in Ukrainian subsidiary
