Andriy Romanchuk is a Partner in the Corporate and M&A Practices. Andriy focuses on M&A, Private Equity, and Venture Capital, as well as on working with entrepreneurs and early-stage start-ups.

Andriy has extensive experience in the technology, miltech, agricultural, and banking sectors. He regularly advises clients on their various business needs and complex corporate transactions, including acquisitions, joint ventures, capital raising, and exits from investments.

      Advised Public Joint Stock Company “Commercial Bank “Center”, a regional Ukrainian bank, and its sole shareholder Mr. Hamed Alikhani on increasing the charter capital of PJSC CB “Center” to UAH200 million

      Advised UniCredit Group on Ukrainian law matters in connection with the disposal of 99.9% shares in PJSC “Ukrsotsbank”, an asset of UCG in Ukraine, in exchange for a minority stake (9.9%) in ABH Holdings S.A.

      Acted as the Ukrainian legal counsel to Onex Corporation and Baring Private Equity Asia in connection with the acquisition of Thomson Reuters’ Intellectual Property & Science Business for USD3.55 billion

AVELLUM acted as the legal counsel to its long-standing client MHP in connection with investment into Ukrainian food-tech start-up Foodz. As a result of two rounds of funding, MHP received a minority stake in Foodz. AVELLUM provided legal support to MHP in structuring the deal and drafting the transaction documents. MHP is the leading poultry producer in Europe and one of the biggest grain producers in Ukraine. The company specialises in the production of chicken and the cultivation of cereals and other agricultural activities. As a part of MHP’s strategy to support new businesses, the company aims to strengthen its relations with the restaurant business to bring the company closer to the customer. Foodz is a dark kitchen start-up that has been developing an online restaurant chain in Kyiv since 2020. It has already raised investments of over USD2 million and now manages 12 brand restaurants with over 100 000 customers. AVELLUM team was jointly led by counsel Andriy Romanchuk and associate Yuliia Chelebii-Kravchenko with support from associate Yelyzaveta Kashyna and under the general supervision of managing partner Mykola Stetsenko. Senior associate Anastasiya Voronova advised on the financial matters of the deal.

AVELLUM ADVISES KASPI.KZ ON ACQUISITION OF PORTMONE

AVELLUM acted as the Ukrainian legal counsel to JSC “Kaspi.kz” (“Kaspi.kz”) in connection with the acquisition of 100% shares in Portmone Group (“Portmone”) by Kaspi Pay, a wholly owned subsidiary of Kaspi.kz.

AVELLUM acted as the Ukrainian legal counsel to JSC “Kaspi.kz” (“Kaspi.kz”) in connection with the acquisition of 100% shares in Portmone Group (“Portmone”) by Kaspi Pay, a wholly owned subsidiary of Kaspi.kz. AVELLUM provided full legal support to Kaspi.kz in performing legal due diligence of Portmone, negotiating and drafting the transaction documents, as well as coordinating completion of the entire transaction. AVELLUM advised the client on obtaining merger control clearance of the Antimonopoly Committee of Ukraine and the approval of the National Bank of Ukraine for the acquisition of the significant stake in Portmone. The acquisition of Portmone gives Kaspi Pay a solid starting platform with a payments licence from the National Bank of Ukraine, Visa & Mastercard accreditation, business relationships with thousands of merchants and a wide pool of banks. Kaspi.kz’s ecosystem connects consumers and merchants, enabling digital payments, e-commerce, and financial services. Kaspi.kz serves customers in Kazakhstan and Azerbaijan. Founded in 2002 in Ukraine, Portmone provides electronic delivery of bills from service providers to customers, payment of customers’ bills via the Internet with Visa and Mastercard, and delivery of customers’ electronic bills to banks and payment of these bills via ATM’s, self-service kiosks and Internet banking systems. The AVELLUM team was led by managing partner Mykola Stetsenko with support from associates Yelyzaveta Kravtsova, Oleksandr Kozhukhar, and Anastasiia Karpenko, who handled corporate and M&A matters. Senior associate Anton Arkhypov and associate Yelyzaveta Kashyna advised on antitrust matters under the general supervision of counsel Mykyta Nota. Counsel Andriy Romanchuk, associates Yelyzaveta Kravtsova, Iryna Fonotova, and Anastasiia Karpenko assisted with obtaining the approval of the National Bank of Ukraine.
