Information

Iryna Fonotova is an Associate of AVELLUM corporate practice with a primary focus on corporate law along with M&A.

Iryna advises both Ukrainian and international clients on matters related to general corporate and commercial law, resolution of corporate disputes, as well as on regulatory matters. Iryna regularly assists with corporate restructurings, M&A and other transactions.

Before joining AVELLUM, Iryna completed several internships, organised by the government with the support of international organisations, in the central executive bodies.

AVELLUM acted as the Ukrainian legal counsel to JSC “Kaspi.kz” (“Kaspi.kz”) in connection with the acquisition of 100% shares in Portmone Group (“Portmone”) by Kaspi Pay, a wholly owned subsidiary of Kaspi.kz.

AVELLUM acted as the Ukrainian legal counsel to JSC “Kaspi.kz” (“Kaspi.kz”) in connection with the acquisition of 100% shares in Portmone Group (“Portmone”) by Kaspi Pay, a wholly owned subsidiary of Kaspi.kz. AVELLUM provided full legal support to Kaspi.kz in performing legal due diligence of Portmone, negotiating and drafting the transaction documents, as well as coordinating completion of the entire transaction. AVELLUM advised the client on obtaining merger control clearance of the Antimonopoly Committee of Ukraine and the approval of the National Bank of Ukraine for the acquisition of the significant stake in Portmone. The acquisition of Portmone gives Kaspi Pay a solid starting platform with a payments licence from the National Bank of Ukraine, Visa & Mastercard accreditation, business relationships with thousands of merchants and a wide pool of banks. Kaspi.kz’s ecosystem connects consumers and merchants, enabling digital payments, e-commerce, and financial services. Kaspi.kz serves customers in Kazakhstan and Azerbaijan. Founded in 2002 in Ukraine, Portmone provides electronic delivery of bills from service providers to customers, payment of customers’ bills via the Internet with Visa and Mastercard, and delivery of customers’ electronic bills to banks and payment of these bills via ATM’s, self-service kiosks and Internet banking systems. The AVELLUM team was led by managing partner Mykola Stetsenko with support from associates Yelyzaveta Kravtsova, Oleksandr Kozhukhar, and Anastasiia Karpenko, who handled corporate and M&A matters. Senior associate Anton Arkhypov and associate Yelyzaveta Kashyna advised on antitrust matters under the general supervision of counsel Mykyta Nota. The transaction allows MHP to expand its business activities into the UK.

AVELLUM acted as the legal counsel to its long-standing client MHP in connection with the acquisition of MHP Food UK Limited (formerly known as Braintree Meats Limited), an England-based company and importer of meat & poultry. The transaction allows MHP to expand its business activities into the UK. AVELLUM provided full legal support to MHP in negotiating and drafting of the transaction documents as well as coordinated completion of the entire transaction. In addition, AVELLUM performed legal due diligence of MHP Food UK Limited and conducted multijurisdictional merger control analysis. MHP is the largest producer and exporter of chicken in Ukraine and the leading producer of poultry meat in Europe. The company specialises in the production of chicken and the cultivation of cereals and other agricultural activities. MHP has also embarked on a course of its transformation from a raw material company to a culinary one. AVELLUM team was led by senior associate Anton Arkhypov with support from associates Iryna Fonotova, who handled corporate and M&A matters, and Valeriia Lepska, who handled antitrust matters, under the general supervision of managing partner Mykola Stetsenko.

AVELLUM ADVISES ON SALE OF CONTAINERBOARD PLANT

AVELLUM acted as legal counsel to investment company Concorde Capital and its partners on the sale of a 72% stake in a containerboard producing company.

AVELLUM acted as the legal counsel to A-Development – one of the leading Ukrainian developers – on the construction of a real estate complex in the centre of Kyiv in the form of a joint investment with a business partner. The complex near Arsenalna subway station will consist of a huge retail space, business centre, apartments, and multi-level underground parking with a total area of over 55,000 sq. m. AVELLUM team advised on the deal structuring, drafted all transaction documents, and participated in negotiations between the investors. Our team prepared and negotiated a full range of transaction documents, including the shareholders’ agreement, investment agreements, deed of guarantee, share purchase agreement, sale and purchase agreements of real estate (including land plots), and easement agreements. Yuriy Nechayev, partner of Corporate/M&A, commented: “We are grateful to our longstanding client for the trust and productive cooperation. We are glad to be a part of this ambitious and large-scale project, and sincerely believe in its success.” Maksym Maksymenko, partner and the head of Real Estate and Infrastructure, noted: “The transaction documents in this deal were exceptionally complicated. AVELLUM ADVISES DILIGENT CAPITAL PARTNERS ON ACQUISITION OF MINORITY STAKE IN EDINSTVO GROUP

AVELLUM acted as the Ukrainian legal counsel to its long-standing client Diligent Capital Partners (“DCP”), a private equity manager, acting together with the Dutch entrepreneurial development bank FMO (“FMO”), in connection with the acquisition of a minority stake in the leading Ukrainian feed producer Edinstvo Group. As a result of the transaction, Edinstvo Group obtained the USD20 million financing that it plans to use to construct a soybean processing plant, expand feed additives production capacity and install additional feed packaging lines. AVELLUM provided full legal support to DCP in complex negotiations and drafting of the transactional documents. We also performed legal due diligence of the Edinstvo Group and advised on the transaction structure and obtaining the approval of the Antimonopoly Committee of Ukraine. AVELLUM acted as the legal counsel to one of the sellers on the sale of a stake in renewable energy projects to Elementum Energy, the largest international renewable energy producer in Ukraine. The transaction covered 3 wind power plants: Artsyz Wind Power Plant, Artsyz Wind Power Plant-2, and Kiliya Wind Power Plant, all located in the Odesa region with an installed capacity of 16.5 MW each. AVELLUM provided full legal support to the client in negotiating and drafting the transaction documents. AVELLUM team was led by partner Yuriy Nechayev with support from associates Maryna Buinytska and Iryna Fonotova. Taking into account this transaction, for the last 4 years AVELLUM has advised on renewable energy projects (both within M&A and banking transactions) the total generating capacity of which exceeds 2 GW.
